1. Overview

Welcome to ShapeLoop!

By accessing or using our platform, you agree to these Terms of Service ("Terms"). Please read them carefully before signing up or using our services.

If you do not agree to these Terms, you may not use ShapeLoop.

2. Service Description

2.1 What ShapeLoop Does

ShapeLoop is a web-based platform that enables users to:

• Create customizable animated overlays for video content
• Choose from a growing library of shapes, effects, and styles
• Apply professional animation effects to enhance video production
• Download transparent video files (WebM) for use in video editors
• Store and manage created overlays (for registered users)

Current features include (but are not limited to):

• Shape overlays (rectangles, circles, ellipses, and more)
• Spotlight/highlight effects
• Multiple animation styles (Pulse, Glow, Rotate, Glitch, etc.)
• Additional overlay types added regularly

2.2 Intended Use

ShapeLoop is designed for video creators, editors, and content producers who need animated overlays for:

• YouTube videos and tutorials
• Social media content
• Online courses and presentations
• Client projects and commercial work
• Product demos and marketing videos

2.3 Subscription Plans

Plan details, feature availability, and pricing may change. Current details are displayed at shapeloop.io/pricing.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use ShapeLoop.

If you are between 16-18 years old, you may use ShapeLoop only with verifiable parental or guardian consent.

Users under 16 are not permitted to use ShapeLoop.

3.2 Legal Capacity

By using ShapeLoop, you represent that you:

• Have the legal capacity to enter into a binding contract
• Are not prohibited from using the service under applicable laws
• Will use the service only for lawful purposes

3.3 Business Use

If you use ShapeLoop on behalf of a company or organization:

• You represent that you have authority to bind that entity to these Terms
• "You" refers to both you individually and the entity you represent
• The entity is responsible for all activity under the account

4. Account & Authentication

4.1 Account Creation

You may sign up via:

• Email and Magic Link (passwordless authentication)
• Google OAuth (single sign-on)

One account per person. Account sharing is not permitted.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of unauthorized access

ShapeLoop is not responsible for unauthorized access resulting from:

• Shared credentials
• Compromised email accounts
• Phishing attacks targeting you

4.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

Providing false information is grounds for immediate account termination.

5. Use of Service

5.1 Permitted Use

You MAY use ShapeLoop to:

• Create animated shapes for personal projects
• Create animated shapes for commercial projects
• Create animated shapes for client work
• Use downloaded shapes in unlimited projects
• Use downloaded shapes in monetized content (YouTube ads, paid courses)
• Modify downloaded shapes in video editing software

5.2 Prohibited Use

You agree NOT to:

• Use ShapeLoop for spam, illegal content, or misleading information
• Create content that is defamatory, obscene, or promotes violence
• Create content that infringes intellectual property rights
• Attempt to reverse-engineer, decompile, or copy the software
• Resell, redistribute, or sublicense ShapeLoop as a service
• Resell raw WebM files as stock footage or assets
• Use automated scripts, bots, or scrapers to access the service
• Circumvent rate limits, watermarks, or plan restrictions
• Exploit vulnerabilities or attempt unauthorized access
• Interfere with the service or overload our infrastructure
• Use the service to develop a competing product
• Share your account credentials with others

5.3 Enforcement

Violation of these terms may result in:

• Warning and request to cease prohibited activity
• Temporary suspension of account
• Permanent termination of account
• Forfeiture of credits or subscription time (no refund)
• Legal action if damages are incurred

We reserve the right to determine what constitutes a violation at our sole discretion.

6. Payments & Billing

6.1 Payment Processing

All payments are processed by LemonSqueezy (Merchant of Record).

LemonSqueezy handles:

• Payment processing (credit cards, etc.)
• Tax calculation and collection (VAT, GST, Sales Tax)
• Tax remittance to relevant authorities
• Invoice generation for customers

We do NOT store credit card numbers or full payment details.

6.2 Currency & Taxes

• All prices are listed in EUR (Euro)
• Prices exclude applicable taxes (VAT or local equivalents)
• Taxes are calculated and displayed at checkout based on your location
• You are responsible for paying all applicable taxes

6.3 Credits (Pay-as-you-go)

Purchase:

• Credits are purchased in packs (10 for €5, 50 for €20, 200 for €60)
• 1 credit = 1 download (any quality, any effect)
• Credits are added to your account immediately upon payment

Usage:

• Credits are deducted when you download a shape
• Preview and customization are FREE (no credits required)
• Failed downloads do not deduct credits

Expiration:

• Credits never expire - use them whenever you want
• Credits remain on your account indefinitely

6.4 Pro Subscription (€9/month)

Billing:

• Billed monthly via LemonSqueezy
• Auto-renewal unless cancelled
• You will be charged on the same day each month

Cancellation:

• Cancel anytime via Settings → Billing
• Access continues until the end of your billing period

Changes:

• You may switch to Credits at any time (subscription ends at period end)
• Price changes: 30 days notice via email before new pricing applies

6.5 Founder's Deal (€99 lifetime)

One-time purchase:

• Single payment of €99
• Lifetime access to all Pro features
• Limited to first 100 users (after that, price increases to €199)

What's included:

• Unlimited downloads forever
• All current and future effects
• All current and future overlay types
• HD + 4K quality
• No watermark
• Batch export
• Priority support

6.6 Refund Policy Summary

Exception: If a technical issue on our end prevents you from using the service for more than 7 consecutive days, you may request a pro-rated refund by contacting hello@shapeloop.io. Maximum refund: €9 (one month of Pro).

7. Content Ownership & License

7.1 Your Content

You retain all rights to the animated shapes you create using ShapeLoop.

ShapeLoop does NOT claim ownership of:

• Your shape configurations
• Your downloaded WebM files
• Videos you create using our shapes
• Any derivative works

7.2 License to Use

Upon download, you receive a perpetual, worldwide, non-exclusive license to use the shape in any project, including commercial use.

8. Watermark Policy

FREE plan downloads include a small, semi-transparent "ShapeLoop" watermark in the corner of each animation.

Removing the watermark without upgrading is a violation of these Terms and may result in account termination.

To remove the watermark and access all features, upgrade to Credits, Pro, or Founder's Deal.

9. Service Availability

9.1 Uptime

We aim to provide 99% uptime but do NOT guarantee uninterrupted service.

ShapeLoop is provided "as is" and "as available."

9.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily interrupts service.

• We will provide 24 hours notice when possible
• Maintenance will be scheduled during low-traffic hours (typically 2-6 AM CET)

9.3 Unscheduled Downtime

We are NOT liable for downtime caused by:

• Third-party services (LemonSqueezy, Brevo, Cloudflare)
• Internet connectivity issues
• Force majeure events (natural disasters, wars, pandemics)
• Cyberattacks or security incidents
• Government actions or regulations

9.4 No SLA

• FREE and Credits users: No service level agreement.
• Pro users: Best-effort support, no guaranteed uptime.
• Founder's Deal users: Priority support, no guaranteed uptime.

10. Limitation of Liability

10.1 Disclaimer of Warranties

We disclaim all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ShapeLoop and its officers, directors, employees, and agents shall NOT be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Damages resulting from third-party services
• Damages exceeding the amount paid to ShapeLoop in the last 12 months

10.3 Cap on Liability

Our total liability to you for any claim arising from these Terms or use of ShapeLoop shall not exceed:

• The amount you paid to ShapeLoop in the 12 months preceding the claim, OR
• €100 (one hundred Euro), whichever is greater

10.4 Exceptions

Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShapeLoop OÜ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of ShapeLoop
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create using ShapeLoop
• Your violation of any applicable laws

This indemnification obligation survives termination of your account.

12. Termination

12.1 Termination by You

You may terminate your account at any time:

• Go to Settings → Account → Delete Account
• Confirm deletion via email

Upon deletion:

• Your account is immediately deactivated
• Your data is deleted within 30 days
• Unused credits are forfeited (no refund)
• Active subscriptions are cancelled (no partial refund)
• Downloaded files remain yours to use

12.2 Termination by ShapeLoop

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Abuse the service or attempt to exploit vulnerabilities
• Engage in fraudulent activity
• Fail to pay for services
• Endanger platform integrity or other users
• Use the service for illegal purposes

Notice: We will attempt to provide notice before termination, except in cases of clear Terms violation, security threats, legal requirements, or fraud.

12.3 Effect of Termination

Upon termination:

• Your access to ShapeLoop is immediately revoked
• Your stored creations are deleted
• Unused credits are forfeited (no refund)
• Your license to use downloaded files remains valid (perpetual)
• These Terms continue to apply to prior use of the service

12.4 Survival

The following sections survive termination:

• Content Ownership & License (Section 7 - your license to downloaded files)
• Limitation of Liability (Section 10)
• Indemnification (Section 11)
• Governing Law (Section 15)

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to attempt informal resolution:

1. Contact us at hello@shapeloop.io with a description of your dispute
2. We will respond within 14 business days
3. We will attempt to resolve the dispute within 30 days

13.2 Mediation

If informal resolution fails, either party may request mediation:

• Mediation shall be conducted in English
• Mediation location: Tallinn, Estonia (or online)
• Costs shall be shared equally
• Mediation is non-binding unless both parties agree to a settlement

13.3 Jurisdiction

If mediation fails, disputes shall be resolved through the courts:

• Governing Law: Laws of the Republic of Estonia
• Jurisdiction: Courts of Tallinn, Estonia
• Language: English or Estonian

13.4 Class Action Waiver

You agree to resolve disputes individually. You waive any right to:

• Participate in class actions
• Participate in class-wide arbitration
• Act as a private attorney general

14. Third-Party Software

ShapeLoop utilizes open source software components for video processing and application functionality. These components are used in accordance with their respective licenses.

15. Governing Law

These Terms are governed by and construed in accordance with:

• The laws of the Republic of Estonia
• Applicable European Union regulations (including GDPR)

Without regard to conflict of law principles.

16. Changes to Terms

16.1 Modifications

We may modify these Terms at any time. Changes become effective:

• Minor changes: Immediately upon posting
• Material changes: 30 days after notice via email

16.2 Notification

We will notify you of material changes via:

• Email to your registered address
• In-app notification
• Banner on the website

16.3 Acceptance

Continued use of ShapeLoop after changes take effect constitutes acceptance of the new Terms.

If you do not agree to the new Terms, you must stop using ShapeLoop and delete your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShapeLoop regarding the service.

17.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

17.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

17.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ShapeLoop.

17.6 Force Majeure

ShapeLoop is not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, wars, terrorism, pandemics, government actions, or internet infrastructure failures.

17.7 Headings

Section headings are for convenience only and have no legal effect.

17.8 Language

These Terms are written in English. Translations are provided for convenience only. In case of conflict, the English version prevails.
